Terms of Service

The agreement between [Company legal name] and the office that uses Ivy.

Last updated 9 September 2026

1.Who this is between

These terms are between [Company legal name] (“we”) and the organization that creates an Ivy workspace (“the office”, “you”). Ivy is built for family offices, investment offices and the advisers who work with them. It is a business tool; it is not offered to consumers.

The person who creates the workspace confirms they are authorised to bind the office to these terms. Members the office invites are covered by the office’s acceptance.

2.What Ivy is

Ivy is an AI assistant. It answers questions over the tools and data your office connects to it (email, documents, spreadsheets, calendars, chat, CRM and similar), and it can take actions in those tools — send an email, post a message, update a record, run a scheduled routine — under the approval settings your office chooses.

Ivy uses large language models. Its output can be wrong, incomplete or out of date. It does not give investment, legal, tax or accounting advice, and nothing it produces should be acted on as such without a qualified person reviewing it.

3.Your account and your people

Sign-in is handled through our identity provider. You are responsible for who you invite, for the roles you give them, and for keeping credentials secure. Tell us at [Contact email] promptly if you believe an account has been compromised.

Administrators in your workspace decide what Ivy may do: which tools it connects to, whether it may send email or post to chat, who it may contact, how long records are kept, and whether actions run automatically or wait for a person.

4.Your data

You own your data. Content you connect or provide — messages, documents, records, the questions you ask and the answers you get — stays yours. We process it only to provide the service, as described in the privacy notice, and we do not use it to train models.

You are responsible for having the right to connect the data you connect, including any consents your own clients or counterparties are owed.

5.Actions Ivy takes on your behalf

When Ivy sends, posts, writes or schedules something, it does so as your office, using credentials your office connected. You are responsible for what is sent under your name. Ivy’s controls — approval before acting, recipient allowlists, delivery switches that are off by default, and an audit log of every tool call — exist so that this responsibility is a manageable one. Use them.

6.Acceptable use

You agree not to use Ivy to:

  • break the law, or help someone else do so;
  • send unsolicited bulk communications;
  • access data you do not have the right to access, including another office’s;
  • probe, overload or interfere with the service or its providers;
  • build a competing model or product from its output.

7.Fees

Pricing is as agreed in your order form or on the plan page at the time you subscribe. Any usage-based charges are set out in your order form. Fees are exclusive of taxes. [Payment terms, currency and late-payment provisions to be confirmed.]

8.Availability and support

We aim to keep Ivy available and will tell you about planned maintenance where practical. We do not promise a specific uptime unless an order form says so. Support is by email at [Contact email].

9.Confidentiality

Each side will keep the other’s non-public information confidential and use it only for this agreement. This survives termination. It does not cover information that is public, already known, independently developed or required to be disclosed by law (with notice to the other side where allowed).

10.Suspension and termination

Either side may end this agreement with 30 days’ written notice. We may suspend a workspace immediately if it is being used in breach of section 6, if fees are materially overdue, or if continuing would put the service or other customers at risk; we will tell you why and how to resolve it.

On termination you may export your data for 30 days; after that we delete it as set out in the privacy notice. Sections 4, 9, 11 and 12 survive.

11.Warranties and liability

Ivy is provided as-is. We do not warrant that its output is accurate or that the service is uninterrupted. To the extent the law allows, neither side is liable to the other for indirect or consequential loss, and our total liability under this agreement is capped at the fees you paid in the twelve months before the claim. Nothing here limits liability for fraud, death or personal injury, or for breach of section 9 or of data-protection law.

12.General

This agreement is governed by the law of [Jurisdiction], and its courts have exclusive jurisdiction. It is the whole agreement between us on this subject and replaces earlier discussions. We may update these terms; material changes will be notified to workspace administrators at least 30 days before they take effect. Continuing to use Ivy after that date is acceptance.
